Introduction
Welcome to RAKYN ("Company", "we", "our", or "us"). These Terms and Conditions govern your access to and use of RAKYN's proprietary enterprise AI platforms, developer APIs, algorithmic models, software applications, and all associated digital products and documentation (collectively, the "Services").
By creating an account, browsing our website, or integrating our APIs into external software architectures, you acknowledge that you have read, understood, and agree to be bound by the terms outlined herein.
Acceptance of Terms
By executing a signed Order Form, completing an online registration, or utilizing any RAKYN computing cluster or API gateway, you affirm your acceptance of these Terms. If you are entering into these Terms on behalf of an enterprise, company, or governmental entity, you represent and warrant that you possess the full legal authority to bind said entity to these obligations.
Eligibility & Authority
You must be at least 18 years of age or the age of legal majority in your applicable jurisdiction to access or utilize our platform. In addition, you warrant that you are not listed on any prohibited party directory maintained by the United States Government, the European Union, or applicable international export regulatory bodies.
User Accounts & Security
To utilize specialized developer endpoints and administrative consoles, you must register a corporate account. You agree to:
- Provide accurate, current, and complete corporate registration details.
- Maintain the strict confidentiality of your API keys, OAuth tokens, and single sign-on credentials.
- Promptly report any suspected unauthorized access or compromised credentials to security@rakyn.com.
- Accept sole responsibility for all computational workloads initiated under your provisioned keys.
Platform Services & AI Engine
RAKYN provides next-generation enterprise machine learning suites including TORQ, SCRIBE, and ARIA neural modules. We continuously update and refine our platforms. RAKYN reserves the right to upgrade, modify, or deprecate specific model versions with commercially reasonable notice provided via developer release notes.
Machine learning models generate probabilistic outcomes. While RAKYN employs enterprise-grade safeguards and fine-tuning, you acknowledge that AI outputs may occasionally contain discrepancies. You are solely responsible for human oversight and verification before deploying AI outputs in mission-critical applications.
Pricing & Payments
Access to computational quotas and software tiers is billed based on standard subscription schedules or metered API token usage as delineated in your Master Service Agreement or Order Form. Unless expressly stated in writing, all fees are non-refundable and exclusive of applicable sales, value-added, or withholding taxes.
Intellectual Property
All proprietary rights, title, patent claims, software architecture, neural weights, source code, and brand trademarks associated with RAKYN remain the exclusive property of RAKYN and its licensors. You receive a limited, revocable, non-exclusive, non-transferable license to interface with our services solely in accordance with these Terms.
User Content & Data Rights
You retain complete ownership of all data, text prompts, corpus files, and digital assets transmitted to our infrastructure ("Customer Data").
Under our enterprise tier agreements, RAKYN does not utilize Customer Data, system prompts, or API inputs to train or refine public foundation models without explicit prior written authorization.

Service Availability & SLA
RAKYN targets 99.9% uptime for core production inference nodes. Scheduled maintenance periods are communicated in advance. For organizations with enterprise Service Level Agreements (SLA), financial service credits are administered pursuant to the specific terms set forth in the SLA schedule.
Disclaimers & AI Accuracy
EXCEPT AS EXPRESSLY STATED IN A SIGNED ENTERPRISE AGREEMENT, RAKYN SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. RAKYN DISCLAIMS ALL STATUTORY, EXPRESS, OR IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Limitation of Liability
IN NO EVENT SHALL RAKYN OR ITS AFFILIATES, OFFICERS, OR DIRECTORS BE LIABLE FOR INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF BUSINESS PROFITS, DATA, OR GOODWILL ARISING FROM YOUR USE OF OUR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE SUMS PAID BY YOU TO RAKYN DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
Indemnification
You agree to defend, indemnify, and hold harmless RAKYN, its corporate affiliates, and their respective personnel from and against any third-party claims, liabilities, damages, and defense costs arising from your breach of these Terms, unauthorized data transmission, or misuse of generated content.
Governing Law & Dispute Resolution
These Terms shall be governed by and interpreted pursuant to the laws of the State of Delaware, without regard to choice of law principles. Any dispute arising out of or related to these Terms shall be resolved via binding arbitration administered by the American Arbitration Association (AAA).
Changes to Terms
We reserve the privilege to modify these terms to reflect changes in regulatory standards or software capability. Notice of material revisions will be sent via email or posted prominently upon this portal. Continued engagement with our services following the effective modification date signifies your agreement.
